MEME BATTLE: LIFE OF A CRYPTO TRADER TERMS AND CONDITIONS

These Terms and Conditions (“Terms”) govern participation in the BitDelta “Meme Battle: Life of a Crypto Trader” campaign (the “Campaign”) conducted by BitDelta (“BitDelta”, “We”, “Our” or “Us”). 

By participating in the Campaign, You (“Participant”, “You” or “Your”) acknowledge that You have read, understood and agreed to be bound by these Campaign Terms. These Terms should be read together with BitDelta’s General Terms and Conditions and Privacy Policy available on the Bitdelta.com platform. If there is any conflict between these Campaign Terms and BitDelta’s General Terms and Conditions with respect to the Campaign, these Campaign Terms shall prevail. 

1. Overview and Nature of the Campaign 

1.1. The Campaign is a promotional creative contest conducted by BitDelta through its official account on @BitDeltaX (Twitter) from 29 September 2026 at 00:00 UTC to 16 October 2026 at 23:59 UTC (the “Campaign Period”), in which eligible Participants may create and submit original memes based on the theme “Life of a Crypto Trader” in accordance with these Campaign Terms. 

1.2. To participate in the Campaign, Participants must submit an original meme relating to the Campaign theme through a quote post of BitDelta’s official Campaign announcement on X, together with the required hashtag and other participation requirements specified under Clause 3 of these Campaign Terms. 

1.3. The Campaign is a voluntary promotional creative contest. No purchase, payment or trading activity is required solely to submit an entry or participate in the Campaign. 

1.4. The first, second and third place winners will be determined by BitDelta’s Social Team  based on the creativity, originality and relevance of the valid entries to the Campaign theme. Four (4) additional winners will be selected randomly from the remaining valid entries, in each case in accordance with Clause 5 of these Campaign Terms. 

1.5. The Campaign is conducted solely for promotional and entertainment purposes and is not intended to constitute a lottery, betting, wagering or gambling activity. 

1.6. Participation in the Campaign is voluntary. Any prize awarded under the Campaign is a one-time promotional reward and does not create any entitlement to future rewards, benefits or participation in any other BitDelta campaign or promotion. 

1.7. BitDelta reserves the right to modify, suspend, extend or cancel the Campaign in accordance with these Campaign Terms. 

2.  Eligibility

2.1. The Campaign is open to registered BitDelta users, subject to the eligibility requirements set out in these Campaign Terms. 

2.2. To be eligible to participate in the Campaign and receive a prize, a Participant must: 

2.2.1. Be at least eighteen (18) years of age (or the age of majority in the Participant jurisdiction of residence, whichever is greater), have full legal capacity to enter into and be bound by these Campaign Terms, and not be subject to any legal disability, guardianship or similar restriction; 

2.2.2. Hold a registered, verified and active BitDelta account; 

2.2.3. Comply with BitDelta’s applicable Terms and Conditions and these Campaign Terms; and 

2.2.4. Not be a citizen or resident of, or located in, any Restricted Jurisdiction specified under Clause 10 of these Campaign Terms. 

2.3. BitDelta employees, contractors and their immediate family members are not eligible to participate in the Campaign or receive any prize. 

2.4. Eligibility will be verified by BitDelta before any Participant is confirmed as a winner. A Participant who does not satisfy the eligibility requirements under these Campaign Terms will not be entitled to receive a prize. 

3.  Participation and Entry Requirements 

3.1. To participate in the Campaign, a Participant must, during the Campaign Period: 

3.1.1. Follow BitDelta’s official account on X (formerly Twitter), @BitdeltaX; 

3.1.2. Like BitDelta’s official Campaign announcement post and tag three (3) friends; 

3.1.3. Create an original meme based on the Campaign theme, “Life of a Crypto Trader”; 

3.1.4. Quote post BitDelta’s official Campaign announcement with the Participant’s meme; and 

3.1.5. Include the hashtag #BitDeltaMemeBattle in the quote post. 

3.2. All requirements under Clause 3.1 are mandatory. An entry that does not satisfy each of the requirements under Clause 3.1 will not constitute a valid entry for the purposes of the Campaign (a “Valid Entry”) and will not be considered for winner selection. 

3.3. Each meme submitted as part of a Valid Entry must comply with the content and intellectual property requirements set out under Clause 6 of these Campaign Terms. 

3.4. A Valid Entry must be submitted no later than the end of the Campaign Period. Any entry submitted after the Campaign Period will not be considered for winner selection. 

3.5. BitDelta will determine the time of submission of an entry by reference to the timestamp recorded on X (in UTC). 

3.6. An entry may be disqualified where it does not comply with these Campaign Terms, including where the entry or the Participant fails to satisfy the applicable eligibility, participation, content or intellectual property requirements. 

4.  Prize Pool and Rewards 

4.1. The total prize pool available under the Campaign is 100 USDT (the “Prize Pool”), which will be distributed among seven (7) winners in accordance with these Campaign Terms. 

4.2. The Prize Pool will be distributed as follows: 

4.3. The First Place, Second Place and Third Place winners will be determined by BitDelta’s Social Team in accordance with Clause 5 of these Campaign Terms. 

4.4. Four (4) Lucky Winners will be selected randomly from the remaining Valid Entries in accordance with Clause 5 of these Campaign Terms. 

4.5. All prizes under the Campaign will be awarded in USDT only in accordance with the procedure set out in Clause 8 of these Campaign Terms. No cash alternative, substitution or exchange for any other prize will be available. 

4.6. Each prize is a one-time promotional reward and does not entitle a winner to any additional or recurring reward, benefit or compensation from BitDelta. 

5.  Winner Selection 

5.1. Following the end of the Campaign Period, BitDelta will determine the winners from among the Valid Entries submitted in accordance with these Campaign Terms. 

5.2. The winners will be selected by BitDelta’s Social Team based on the following criteria: 

5.2.1. Creativity; 

5.2.2. Originality; and 

5.2.3. Relevance to the Campaign theme, “Life of a Crypto Trader”. 

5.3. Based on the criteria set out under Clause 5.2, BitDelta’s Social Team will determine the entries to be awarded First Place, Second Place and Third Place. 

5.4. After the First Place, Second Place and Third Place winners have been determined, four (4) Lucky Winners will be selected randomly from the remaining Valid Entries in accordance with clause 5.2.  

5.5. An entry selected for First Place, Second Place or Third Place will not be included in the pool of entries from which the Lucky Winners are selected. 

5.6. Only Valid Entries submitted in accordance with these Campaign Terms will be considered for winner selection. 
 

5.7. All potential winners will remain subject to the eligibility and verification requirements under these Campaign Terms before being confirmed as winners. 

5.8. BitDelta’s determination of the First Place, Second Place and Third Place winners and the selection of the four (4) Lucky Winners will be final and binding, subject to applicable law. 

6.  Content and Intellectual Property 

6.1. Each meme submitted in connection with the Campaign must be original content created by and owned by the Participant submitting the entry. 

6.2. By submitting an entry, the Participant represents that the Participant owns or otherwise holds all rights necessary to submit and permit the use of, the meme in accordance with these Campaign Terms. 

6.3. AI-generated memes are permitted, provided that the Participant holds all rights necessary to use and submit the AI-generated output and to grant BitDelta the rights specified under Clause 6.6.  

6.4. An entry must not: 

6.4.1. Contain content copied from or belonging to another person without the necessary rights or permission; 

6.4.2. Infringe any intellectual property or other proprietary rights of any third party; 

6.4.3. Contain defamatory or offensive content; or 

6.4.4. Otherwise violate these Campaign Terms or applicable law. 

6.5. The Participant remains responsible for the content of the Participant’s entry and for ensuring that its submission and use in connection with the Campaign do not infringe any third-party rights. 

6.6. By submitting an entry, the Participant grants BitDelta a non-exclusive, royalty-free licence to use the submitted meme for marketing purposes. 

6.7. A Participant retains ownership of the Participant’s submitted meme, subject to the licence granted to BitDelta under Clause 6.6. 

6.8. BitDelta may disqualify an entry that does not comply with Clause 6 and may remove or refrain from using any such entry in connection with the Campaign. 

7.  Winner Verification and Announcement 

7.1. Each potential winner will be subject to verification by BitDelta before being confirmed as a winner. As part of the verification process, BitDelta will verify that the potential winner: 

7.1.1. Holds a registered BitDelta account; 

7.1.2. Satisfies the eligibility requirements set out under Clause 2 of these Campaign Terms; 

7.1.3. Has submitted a Valid Entry in accordance with Clause 3 of these Campaign Terms; and 

7.1.4. Has complied with the applicable content and intellectual property requirements under Clause 6 of these Campaign Terms. 

7.2. BitDelta will announce the confirmed winners within seven (7) business days following the end of the Campaign Period. 

7.3. BitDelta will contact each winner by direct message through X. Each winner must respond within seventy-two (72) hours of receiving such direct message and provide the information reasonably required by BitDelta for winner verification and prize distribution, including the wallet details required for receipt of the applicable prize. 

7.4. Each winner must provide complete and accurate information for the purposes of verification and prize distribution. Where the information provided is incomplete or inaccurate, BitDelta may withhold the applicable prize pending satisfactory completion of the verification process. 

7.5. A winner who fails to respond to BitDelta within the seventy-two (72) hour period specified under Clause 7.3 will forfeit the applicable prize in accordance with Clause 8 of these Campaign Terms. 

7.6. A potential winner who does not satisfy the eligibility, entry or verification requirements under these Campaign Terms will not be confirmed as a winner and will not be entitled to receive a prize. 

8.  Prize Distribution and Forfeiture 

8.1. Subject to successful completion of the verification requirements under Clause 7 of these Campaign Terms, each winner will receive the applicable prize within seven (7) to fourteen (14) business days from the date on which BitDelta receives the information required from the winner for prize distribution. 

8.2. All prizes will be distributed in USDT only in accordance with the prize structure set out under Clause 4 of these Campaign Terms. No cash alternative or substitute prize will be provided. 

8.3. BitDelta will forfeit the applicable prize if the winner: 

8.3.1. Fails to respond to BitDelta within seventy-two (72) hours of receiving the direct message referred to under Clause 7.3; 

8.3.2. Fails to provide the information reasonably required for winner verification and prize distribution; 

8.3.3. Fails to satisfy the eligibility or verification requirements under these Campaign Terms; or 

8.3.4. Is disqualified for failure to comply with these Campaign Terms. 

8.4. Each winner is solely responsible for determining, reporting and paying any tax, duty, levy or other governmental charge that may apply to the receipt of a prize under the Campaign in accordance with the laws applicable to that winner. 

8.5. BitDelta will not be responsible for any delay or failure in the distribution or receipt of a prize resulting from inaccurate or incomplete information provided by a winner, failure by the winner to complete the required verification process, or circumstances outside BitDelta’s reasonable control.  

9.  Participant Conduct and Disqualification 

9.1. Each Participant must participate in the Campaign fairly and in accordance with these Campaign Terms and applicable law. 

9.2. A Participant must not engage in any conduct intended to obtain an unfair advantage, interfere with the proper operation of the Campaign, manipulate the winner selection process or otherwise circumvent these Campaign Terms. 

9.3. Without limiting Clause 9.2, a Participant must not: 

9.3.1. Submit any entry that does not comply with the content and intellectual property requirements under Clause 6 of these Campaign Terms; 

9.3.2. Provide false, misleading or materially inaccurate information in connection with eligibility, winner verification or prize distribution; 

9.3.3. Use bots, scripts, automated tools or other artificial means to manipulate participation or the winner selection process; or 

9.3.4. Engage in fraud or any other conduct intended to manipulate or compromise the integrity or fair administration of the Campaign. 

9.4. BitDelta reserves the right to investigate any actual or suspected breach of these Campaign Terms and may require a Participant to provide information reasonably necessary for the purposes of such investigation. 

9.5. Where BitDelta determines that a Participant has breached these Campaign Terms, BitDelta may disqualify the Participant, invalidate the affected entry, withhold or forfeit any applicable prize, and take any other action reasonably necessary to protect the integrity and fair administration of the Campaign. 

9.6. Any disqualification under this Clause 9 will not affect any other rights or remedies available to BitDelta under these Campaign Terms or applicable law. 

10.  Restricted Jurisdictions 

10.1. The Campaign is not available to any person who is a citizen or resident of, or located in, any jurisdiction identified under this Clause 10 (collectively, the “Restricted Jurisdictions”). 

10.2. For the purposes of the Campaign, the Restricted Jurisdictions comprise:  

10.2.1. Sanctioned Countries: Democratic People’s Republic of Korea (North Korea), Iran, Libya, Democratic Republic of the Congo (Congo-Kinshasa), Republic of the Congo (Congo-Brazzaville), Iraq, Yemen, Belarus, Cuba, Somalia, Myanmar, Venezuela, Afghanistan, Syrian Arab Republic (Syria), Central African Republic, South Sudan, Sudan, Russia, Eritrea, Guinea-Bissau and Ukraine; and  

10.2.2. Countries and territories subject to BitDelta’s business restrictions: United States, United Kingdom, Canada, United States Territories and Minor Outlying Islands, China, Algeria, India and United Arab Emirates. 

10.3. Each Participant is responsible for ensuring that participation in the Campaign is permitted under the laws and regulations applicable to the Participant. BitDelta may require information or documentation reasonably necessary to verify a Participant’s citizenship, residence, location or eligibility under this Clause 10. 

10.4. BitDelta reserves the right to amend the list of Restricted Jurisdictions where required to reflect changes in applicable laws, regulatory requirements, sanctions or BitDelta’s business restrictions. 

11.  Data Protection and Privacy 

11.1. BitDelta may collect and process a Participant’s wallet details and any other personal information reasonably required for the purposes of administering the Campaign, verifying eligibility, confirming winners and distributing prizes. 

11.2. Personal data collected in connection with the Campaign will be processed in accordance with BitDelta’s Privacy Policy and applicable data protection laws. 

11.3. Information provided by a Participant for winner verification and prize distribution will be used for the administration of the Campaign and related compliance purposes and will not be used for purposes incompatible with those for which it was collected, except where otherwise permitted or required by applicable law. 

11.4. Each Participant is responsible for ensuring that any information provided to BitDelta in connection with the Campaign is accurate, complete and up to date. 

11.5. By participating in the Campaign and providing personal data where required, each Participant acknowledges that such data may be processed to the extent necessary for the administration of the Campaign, including eligibility verification, winner confirmation and prize distribution, in accordance with BitDelta’s Privacy Policy and applicable law. 

12.  Disclaimers and Limitation of Liability 

12.1. Participation in the Campaign is at the Participant’s own discretion and risk. Each Participant is responsible for ensuring that the Participant’s entry and participation comply with these Campaign Terms and applicable law. 

12.2. BitDelta does not own, operate or control X and does not guarantee the availability, uninterrupted operation or continued functionality of X in connection with the Campaign. 

12.3. To the extent permitted by applicable law, BitDelta will not be liable for any loss, damage, cost or expense arising from or in connection with: 

12.3.1. Any outage, interruption, delay, technical failure, network disruption or other technical issue affecting X that prevents, delays or otherwise affects the submission, receipt or visibility of an entry; 

12.3.2. The removal, deletion, restriction or unavailability of any Campaign post or Participant entry on X; 

12.3.3. Any change to X’s policies, rules, functionality or operation that affects participation in or administration of the Campaign; 

12.3.4. Any delay, failure or inability to distribute or receive a prize resulting from inaccurate or incomplete information provided by a winner or circumstances outside BitDelta’s reasonable control; 

12.3.5. Any tax, duty, levy or other governmental charge arising from or in connection with the receipt of a prize; or 

12.3.6. Any claim or dispute arising from a Participant’s submission or use of content that infringes or is alleged to infringe the intellectual property or other rights of a third party. 

12.4. Each Participant is solely responsible for obtaining and maintaining the internet access, device and X account necessary to participate in the Campaign and for ensuring that the Participant’s entry remains accessible for the purposes of the Campaign. 

12.5. BitDelta is not responsible for any action taken by X in relation to a Participant’s account, post or other content, including any restriction, suspension, removal or deletion imposed in accordance with X’s applicable rules or policies. 

12.6. Nothing in these Campaign Terms excludes or limits any liability that cannot lawfully be excluded or limited under applicable law. 

13.  Campaign Modification, Suspension and Cancellation 

13.1. BitDelta reserves the right to modify, suspend, extend or cancel the Campaign, in whole or in part, where reasonably necessary due to legal or regulatory requirements, technical or operational issues, circumstances affecting the integrity or fair administration of the Campaign, or other circumstances beyond BitDelta’s reasonable control. 

13.2. Without limiting Clause 13.1, BitDelta may modify the Campaign Period, participation requirements, winner selection process, prize distribution arrangements or other Campaign mechanics where reasonably necessary for the proper administration of the Campaign, subject to applicable law. 

13.3. BitDelta may modify, suspend or cancel the Campaign where any change to the availability, functionality, rules or policies of X materially affects BitDelta’s ability to conduct or administer the Campaign as intended. 

13.4. Where reasonably practicable, BitDelta will communicate any material modification, suspension, extension or cancellation of the Campaign through its official channels or by updating these Campaign Terms. 

13.5. Any modification, suspension, extension or cancellation of the Campaign will not affect any rights or obligations that have already accrued under these Campaign Terms, except where such modification is reasonably necessary to comply with applicable law or to preserve the integrity and fair administration of the Campaign. 

14.  Governing Law and Dispute Resolution 

14.1. The Campaign and these Campaign Terms will be governed by and construed in accordance with the laws of the Republic of Panama, without regard to any conflict of law principles that would require the application of the laws of another jurisdiction. 

14.2. Any dispute, controversy or claim arising out of or in connection with the Campaign or these Campaign Terms, including any dispute relating to their existence, validity, interpretation, performance, breach or termination, will first be referred to BitDelta for resolution through its applicable internal complaints or dispute resolution procedure. 

14.3. Where a dispute is not resolved in accordance with Clause 14.2, the courts of the Republic of Panama will have exclusive jurisdiction to hear and determine the dispute, subject to applicable law. 

14.4. To the extent permitted by applicable law, any dispute arising out of or in connection with the Campaign or these Campaign Terms must be brought by a Participant in an individual capacity and not as a claimant or member of any class, collective, consolidated or representative proceeding. 

14.5. Nothing in this Clause 14 will prevent either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction where such relief is necessary to protect its rights. 

15.  Acceptance of the Campaign Terms 

15.1. By participating in the Campaign, a Participant acknowledges that the Participant has read, understood and agreed to be bound by these Campaign Terms and BitDelta’s applicable General Terms and Conditions and Privacy Policy. 

15.2. Compliance with these Campaign Terms is a condition of eligibility to participate in the Campaign and receive a prize. A Participant who does not comply with these Campaign Terms will not be eligible to receive a prize. 

15.3. A Participant’s submission of an entry in accordance with Clause 3 of these Campaign Terms constitutes acceptance of these Campaign Terms. 

15.4. If any provision of these Campaign Terms is determined to be invalid, unlawful or unenforceable under applicable law, that provision will be applied to the maximum extent permitted by law, and the validity and enforceability of the remaining provisions will not be affected.
